These Terms of Service ("Terms") govern your access to and use of Promptvexity ("we," "us," or "our") and any related services we provide (collectively, the "Service"). By creating an account or using the Service in any way you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Who can use Promptvexity

You must be at least 16 years old to use the Service. By using it you confirm that you meet this age requirement. If we learn that we have collected data from someone under 16, we will delete that account and its data promptly.

You must provide accurate information when you register. You are responsible for keeping your account credentials secure and for all activity that occurs under your account.

2. What Promptvexity is

Promptvexity is a community platform where users submit prompt-engineering problems, contribute prompt-based solutions, and collaboratively evaluate quality through structured scoring and version-controlled forks. We provide the infrastructure; the content comes from you and other members of the community.

3. Your content

3.1 What you own

You retain ownership of the prompts, problems, reviews, and other original content you post ("Your Content"). We do not claim ownership of it.

3.2 License you grant us

By posting Your Content you grant Promptvexity a worldwide, royalty-free, sublicensable, transferable license to use, host, store, reproduce, modify (for formatting or display purposes only), publicly display, and distribute Your Content in connection with operating and improving the Service. This license persists even if you later delete the content, to the extent copies were made for backup, caching, or shared with third parties before deletion.

3.3 Public by default

Content you submit is public and indexed by search engines unless the Service explicitly provides a private option. Do not post anything you want kept confidential.

3.4 Content you are responsible for

You represent that Your Content does not infringe any third-party rights and does not violate any law or our Acceptable Use Policy. We may remove content that violates these Terms or our policies.

4. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violating that policy may result in suspension or termination of your account.

5. Subscriptions and payments

5.1 Free tier

A free tier is available with limited features. We may change what is included in the free tier at any time with reasonable notice.

5.2 Paid plans

If you subscribe to a paid plan, you authorize us to charge you on a recurring basis (monthly or annually depending on your selection) until you cancel. Prices are displayed in USD and may change. We will give you at least 7 days' notice before any price change takes effect on your renewal date. Annual subscribers will also receive a renewal reminder at least 7 days before each anniversary charge.

5.3 Cancellation

You may cancel at any time in your account settings. Cancellation takes effect at the end of your current billing period; you retain access until then. We do not prorate refunds for partial periods unless required by applicable law. See our Refund Policy for details.

6. Intellectual property

The Promptvexity name, logo, product design, and any software we write are owned by us or our licensors. Nothing in these Terms gives you a right to use our branding or proprietary technology outside the normal use of the Service.

7. DMCA and copyright

We respect intellectual property rights and comply with the Digital Millennium Copyright Act. If you believe content on the Service infringes your copyright, send a DMCA takedown notice to our designated agent:

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. AI-GENERATED QUALITY SCORES ARE AUTOMATED ESTIMATES, NOT PROFESSIONAL ADVICE. USE CONTENT FROM THE SERVICE AT YOUR OWN RISK.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTVEXITY AND ITS OFFICERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY. IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Dispute resolution and arbitration

Please read this section carefully — it affects your legal rights.

10.1 Informal resolution first

Before filing any legal claim, contact us at contact@promptvexity.com and give us 30 days to try to resolve the dispute informally.

10.2 Binding arbitration

If informal resolution fails, any dispute arising from or related to these Terms or the Service shall be resolved by binding individual arbitration under the AAA Consumer Arbitration Rules, with proceedings conducted in Harris County, Texas, or via video conference if both parties agree.

10.3 Class action waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. All disputes must be brought individually.

10.4 Small claims carve-out

Either party may bring an individual claim in small claims court in Harris County, Texas, if the claim qualifies.

10.5 Opt-out

You may opt out of the arbitration agreement within 30 days of first accepting these Terms by emailing contact@promptvexity.com with the subject line "Arbitration Opt-Out" and your account email address. Opting out does not affect any other part of these Terms.

11. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law provisions. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms, the Acceptable Use Policy, or any applicable law. You may delete your account at any time in your account settings. Upon termination, your right to use the Service ends immediately, but the license you granted us for Your Content (section 3.2) survives termination.

13. Changes to these Terms

We may update these Terms from time to time. If the changes are material, we will notify you by email and/or by posting a notice on the Service at least 7 days before they take effect. Your continued use of the Service after the effective date means you accept the updated Terms.

14. Miscellaneous

These Terms (together with our Privacy Policy, Acceptable Use Policy, and Refund Policy) constitute the entire agreement between you and Promptvexity regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign your rights under these Terms without our consent; we may assign ours without restriction.
